Partner · M&A & Transaction Disputes
Jonathan S. Marsh
“Deal speed is a discipline, not an excuse.”
Jonathan Marsh litigates transactions — the deals that break, the earn-outs that miss, the closings that need a court order. He has tried expedited deal cases in New York and Delaware on timetables measured in weeks, and negotiates from the leverage those courtrooms create.
Deal counsel also retain him before signing to pressure-test high-exposure terms. His rule of thumb: every formula in a purchase agreement should be drafted as though a jury will one day read it aloud.
