Terms of Service

1. Acceptance of Terms

By accessing or using the SearchPod Digital website (searchpod.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

SearchPod Digital provides digital marketing services including but not limited to Google Ads management, search engine optimisation (SEO), web development, social media marketing, content marketing, email marketing, branding, and analytics. Specific services, deliverables, and terms are defined in individual service agreements or proposals.

3. Client Obligations

• Provide accurate and complete information necessary for service delivery
• Grant necessary access to accounts, platforms, and tools as required
• Review and approve deliverables in a timely manner
• Make payments in accordance with agreed terms
• Comply with all applicable laws and platform policies

4. Payment Terms

• Services are billed monthly in advance unless otherwise agreed
• Payment is due within 14 days of invoice date
• All prices are in Canadian Dollars (CAD) and exclusive of applicable taxes unless stated otherwise
• Late payments may incur interest at 1.5% per month on the outstanding balance
• Ad spend budgets are separate from service fees and paid directly to advertising platforms

5. Money-Back Guarantee

We offer a 30-day money-back guarantee on all new engagements. If you are not satisfied with our services within the first 30 days, we will refund your service fees in full. This guarantee does not apply to ad spend paid to third-party platforms or custom development work that has been delivered and approved.

6. Cancellation

All services are month-to-month with no long-term contracts. Either party may cancel with 30 days' written notice. Upon cancellation, we will provide all account access, credentials, data exports, and deliverables created during the engagement.

7. Intellectual Property

• Client content: You retain ownership of all content, data, and assets you provide to us
• Deliverables: Upon full payment, all custom work product (website code, designs, content, campaigns) is owned by you
• Our tools: We retain ownership of proprietary tools, frameworks, templates, and methodologies used in service delivery
• Portfolio rights: We may reference the engagement in our portfolio and case studies unless you request otherwise in writing

8. Confidentiality

Both parties agree to keep confidential any proprietary information, business data, strategies, or trade secrets shared during the engagement. This obligation survives termination of the agreement.

9. Limitation of Liability

SearchPod Digital provides marketing services on a best-efforts basis. We do not guarantee specific rankings, traffic volumes, or conversion rates, as these depend on factors outside our control including search engine algorithms, market conditions, and competitor activity. Our total liability for any claim arising from our services is limited to the fees paid in the three months preceding the claim.

• You may not reproduce, distribute, or modify website content without written permission
• Free tools provided on this website are for informational purposes only and do not constitute professional advice
• We reserve the right to modify or discontinue any website feature without notice

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Ontario.

12. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date. Continued use of our website or services after changes constitutes acceptance of the revised terms.
